Northumberland County, Virginia

Mr. Luttrell Tadlock, County Administrator

Mr. Drew Basye, Assistant County Administrator

Mr. Robert Headley, IT Administrator

1. Opening of Meeting 5:00P.M.

Information: A. Call to Order

The joint meeting with the School Board was convened by Chairman Haynie and held at the Northumberland Courthouse located at 220 Judicial Place, Heathsville, VA 22473. The School Board Chair then called the School Board meeting to order as this was a joint meeting. Attending the meeting was Betty Christopher, Dave Curran, Denise Mazyck, Cheryl Davis, and Dana O’Bier.

2. Board Discussion

Action, Information: A. School Finances

School Board Chair, Betty Christopher, stated in an abundance of caution and due to the school system’s current financial issues (most recently receiving a notice of IRS leans), it is my hope that the Northumberland County School Board will take action by contacting the Virginia State Police Financial Crimes Unit to request a full investigation. The School Board will take further corrective action after updates are received.

District III School Board Member, Denise Mazyck motioned that the School Board launch an outside investigation with the Virginia State Police Department. Dana Obier seconded the motion.

Dr. Dave Curran asked what the scope of investigation is.

Page 2

Mrs. Mazyck stated the scope is to look at all of whatever goes into and has been a part of the financial issues at the school and that they take a full look at all things. Mrs. Mazyck asked Dr. Curran if he’d like to add anything to the motion.

Dr. Curran would like to add as part of the investigation that the Virginia State Police is requested to determine if there are any violations of the Virginia State Statute and investigate those as well.

Mrs. Mazyck accepts Dr. Curran’s amendment to her motion.

Dr. Curran believes the investigation should go back at least five years.

Dr. Davis seconded this motion to include going back five years. The School Board vote on the motion was 5:0.

Supervisor Long asked about some teachers receiving a 1% bonus and would like to hear more information on this.

Dr. Karen Leslie, acting Superintendent, stated that she is unaware of any bonuses at this time. Chairman Haynie stated that they were completely off track, and they need to finish one item before they move on.

Chairman Haynie motioned that the Board of Supervisors ask the Virginia State Police to launch an investigation into the Northumberland County School Board and School Administration in the violations of the typical codes of the Commonwealth and United States Government related to financial records, personnel records, public meetings, and public records management. Vice Chairman Brann seconded the motion but asked if there was any way the Boards could work together on this.

Chairman Haynie said it’s two separate motions.

Chairman Haynie amended his motion that they request Mr. Tadlock specifically to discuss/have conversations with the Virginia State Police.

Supervisor Fisher asked if both Boards would receive the content of the report. Chairman Haynie confirmed that both Boards would receive the report.

Page 3

Supervisor Williams asked about the process and stated that the Virginia State Police would determine whether they’ll do the investigation.

Chairman Haynie believed this is how the process works. He explained that they’ll come in and do a review, look at the forensic audit, and then start a review process. He stated that then it’s out of their hands.

Supervisor Long stated that he is going to vote against this until the School Board’s investigation comes back first.

Vice Chairman Brann believes that their motion is basically supporting the school system. Chairman Haynie stated that the Board of Supervisors are responsible for everything that has gone on and they have to oversee everything. He believes they haven’t been given the information over the years, and this is the only way to set the records straight and start out on a good foot.

Supervisor Williams asked what’s the difference between the motions because it sounds like they are asking for the same thing as the School Board.

Chairman Haynie stated that some of it is the same, but his motion goes more into detail. He wants the state police to investigate into the US government part, all 941s, all FICA, all payroll records, public and private meetings, and record management. He stated that the School Board only covered a little bit, and we are trying to finish it up.

Supervisor Williams asked Chairman Haynie to repeat his motion.

Motion that the Board of Supervisors ask the Virginia State Police to launch an investigation into the Northumberland County School Board and School Administration in the violations of the typical codes of the Commonwealth and United States Government related to financial records, personnel records, public meetings, and public records management. The Board would like Mr. Tadlock to contact the Virginia State Police on Monday.

The vote was 4:1. Supervisor Long voted nay.

Dr. Curran adopted Chairman Haynie’s motion to include going back at least 5 years. Dr. Davis seconded the motion. The School Board vote was 5:0.

Page 4

School Board Chair, Betty Christopher clarified with Chairman Haynie that there will be one report, the School Board will not contact anyone, the Board of Supervisors will take care of that, and the School Board will receive the report as well.

Vice Chairman Brann asked that the information be presented to both Boards when it is received. Chairman Haynie agreed and stated that they would have a meeting together to go over the information when it is received. He stated that the meeting would be public, and the information will be printed out on the table out front for everyone to pick up a copy if they wish, as well as be posted on the County website.

County Administrator Tadlock informed Chairman Haynie that the Board’s motion did not include a time frame.

Chairman Haynie amended his motion by adding a time frame of going back five years and if the Virginia State Police feels the need to go back more years, go back further.

Motion that the Board of Supervisors asks the Virginia State Police to launch an investigation into the Northumberland County School Board and School Administration going back 5 years into violations of the typical codes of the Commonwealth and United States Government related to financial records, personnel records, public meetings, and public records management. The Board would like County Administrator Tadlock to contact the Virginia State Police on Monday (4/21/2025) and if the VSP feels the need to go back more years, go back further.

Motion by: Richard F. Haynie, second by: Chip Williams.

Final Resolution: Motion Carried

Aye: James M. Long, Richard F. Haynie, James W. Brann, Chip Williams, AC Fisher, Jr. Chairman Haynie asked for some information about the IRS lien and how long it’s been going on.

School Board Chair Betty Christopher asked Dr. Leslie to come forward and comment on this. Chairman Haynie asked how many letters the school received from the IRS pertaining to the lien and how far back does it go.

Dr. Leslie stated that there was only one letter pertaining to the lien. Prior to that, they received a final notice that demanded a payment by a certain date in order to avoid a lien and just prior to th

that there was an appointment request sent to the school from the IRS, mailed February 24 , however it was mailed to a physical address and not a P.O. box which is where they receive their

Page 5

mail, so they did not receive the letter until March 17, 2025. There were three bills received in their office (one in December 2024, and the other two she didn’t have dates for when they were received). She spoke with the IRS, and they stated that one was sent in June 2024 that has the correct address and then there was one sent in March 2023 with the correct address as well. She continued stating that there was one mailed in October 2022 that was addressed incorrectly, and she can’t confirm that it was ever received because she could not find a copy. There was also one mailed in November 2023 with the wrong address, but she cannot confirm that one either. She stated that there were also two sent prior to the appointment request letter sent in December 2024 one sent in February 2025 that had the wrong address, but she does not have a copy of that bill. Dr. Leslie included this timeline in the Board’s packet.

Dr. Leslie also confirmed with the IRS that except for the case in December 2024, they did not send a second invoice. They explained that they did not send second notices or at least they could not find that information in their system.

Dr. Curran asked Dr. Leslie if anyone else from the School Division has talked to the IRS about any of these issues.

Dr. Leslie believes that the Finance Director and Finance Specialist spoke with the IRS officer according to their statements given to her.

Dr. Curran asked about the timeline and stated that the school administration knew about the lien before the School Board did according to the date stamps on the letters. He asked what procedures are in place that creates the procedures of who’s responsible for what things in the office.

Dr. Leslie stated that there may be procedures in place but she’s unaware because she does not work directly in the finance department.

Dr. Curran asked if the IRS officer explained why they put a lien on the property. Dr. Leslie stated that she did not, but the final letter stated if you don’t pay the balance by a certain date they’re going to place a lien on the property.

Supervisor Williams asked at what date did the first Northumberland County employee learn that there was a lien put on the property.

Dr. Leslie stated it would be whoever opened the letter from April 7, 2025, and she was told about it by the Interim Finance Director.

Page 6

Supervisor Williams asked what date the lien was put on the County.

th

Dr. Leslie stated that the notice was prepared and signed on the 25 of March 2025. Supervisor Williams stated that if a lien was placed on the County on March 25, 2025 then someone from the County should have known about it.

Dr. Curran asked what the total amount owed is.

Dr. Leslie stated that the actual lien amount is $50,363.60, however the IRS officer stated that’s the tax lien amount and does not include the penalties and fees. She expects the total amount to be nearly $54,000 with penalties and fees included.

Dr. Curran asked if the school has paid a portion of the bill yet.

Dr. Leslie stated that she didn’t bring a copy of this, but they did send a check of just over $53,000 and that officer informed her that this would remove the lien once the check was received and processed.

Dr. Curran asked where this money came from in their budget.

Dr. Leslie stated that it came out of the instructional line item for right now because that is where they had the money to pay for it.

Supervisor Williams asked if the school would likely be coming back to the Board for another appropriation request.

Dr. Leslie stated that she does not do the accounting, however she believes this is likely. Supervisor Long asked if Dr. Leslie cleared up the address issue with the IRS.

Dr. Leslie stated yes, and she requested they note in their file to never send it to their physical address. She also inquired about why the letters kept switching back and forth between their P.O. box address and their physical address and they explained that they updated the address based on how the 941 for that particular quarter was submitted.

Vice Chairman Brann asked Dr. Leslie when she was appointed acting Superintendent. Dr. Leslie stated she was appointed at a special meeting in March. The School Board stated it was March 28, 2025.

Page 7

Vice Chairman Brann wanted the public to know that Dr. Leslie is answering the questions to the best of her ability as she was just appointed to this position.

Chairman Haynie stated that whoever opened the notice of the lien should have reported it immediately and someone needs to be held accountable. He asked when the invoice and check was approved at the School Board meeting.

Dr. Leslie stated that it was discussed in closed meeting since it was a legal issue. Chairman Haynie stated that the approval of the invoice and the writing of the check should have been taken action on by the School Board in open meeting because it is public information. Supervisor Fisher asked if the IRS letters came by registered mail.

Dr. Leslie stated that they did not, but the last three items presented to the Board did come certified and required a signature at the post office. She asked the post office for records of who had signed for them and if they had signed for others and the post office did not have that information to give her.

Supervisor Fisher asked how many finance directors the School Board has had in the last five years.

Mrs. O’Bier stated that they’ve had 3 and 1 interim over the last five years.

Dr. Curran made a motion that all finances of the School Board be turned over to the County effective today and hopes the Board of Supervisors will bring someone in from the County to ensure that we have a second set of eyes on the books and finances going forward. Dr. Davis seconded the motion.

Mrs. O’Bier wanted clarification for what that does for the employees at the School Board office. Dr. Curran stated that he doesn’t believe it would change the current employee’s status. Vice Chairman Brann asked Dr. Curran to consider withdrawing his motion and allow him to amend his motion from the April 8, 2025 meeting.

Vice Chairman Brann made an amendment to his motion made on April 8, 2025. In support of the students and teachers of Northumberland County and to restore the trust and accountability to

Page 8

the school finances, that the County immediately engages a contractor for the purpose of overseeing and assisting the orderly transition of the finances from the school to the County effective July 1, 2025 and to develop an organizational plan for the operation of the school finances by the County. Additionally, the scope of work will include monitoring of the performance in the School Administration and properly completing its financial duties during this transaction period.

Supervisor Williams seconded this motion and stated that he’s heard every member from the two Boards agree that the school is in need of assistance with their finances, and this is the way to go in his opinion.

st

Dr. Curran asked what they were going to do between today and July 1 .

Vice Chairman Brann amended his motion to move forward immediately with the contractor with the purpose of getting the school finances in line for the next two months to get into the next fiscal year, but by July 1, 2025 the County wants to take the finances over, and he also expects full cooperation from the school and all accessibility to the finances and software programs.

Supervisor Williams seconded the motion with Mr. Brann’s amendment.

Chairman Haynie asked Mr. Brann to restate his motion.

Action, Information: B. Amended Motion from April 8, 2025 Joint Meeting with School Board

In support of the students and teachers of Northumberland County and to restore the trust and accountability to the school finances, motion that the County immediately engages a contractor for the purpose of overseeing and assisting the orderly transition of the school finances and also to get the schools finances in shape for the next two months to be able to effectively take over by July 1, 2025 and to develop an organizational plan for the operation of the school finances by the County. Additionally, the scope of work will include monitoring of the performance in the School's Administration and properly completing its financial duties during this transaction period.

Motion carried after further discussion below.

Chairman Haynie stated that the County has no one to put in place right now, but they are in the process of looking to hire someone. He stated the Board is waiting for information from a

Page 9

company and have not received that information yet, but when that information is received then the Board can start making a decision.

The Board agreed once they find someone to hire, they will bring on the school employees and transfer them over to the County and get the finances straight the best they can. Dr. Curran recommended the Board reach out to a local CPA firm and have them be interim on the finances until they find a contractor.

Chairman Haynie stated that may be possible but he’s unsure if that can happen right away. Mrs. O’Bier asked if the school employees would remain school employees or if they’d be considered County employees.

Chairman Haynie stated that they would not be school employees anymore and they’d be transferred to the County.

Mrs. O’Bier thought that the original motion was they would have additional help as a school employee.

Chairman Haynie stated they’d still be doing the same job, but they’d be a County employee with a supervisor overlooking their duties.

Motion by: James W. Brann, second by: Chip Williams.

Final Resolution: Motion Carried

Aye: James M. Long, Richard F. Haynie, James W. Brann, Chip Williams, AC Fisher, Jr. Dr. Dave Curran rescinded his original motion and adopted Mr. Brann’s motion on behalf of the School Board. Dr. Davis seconded the motion. The School Board vote was 5:0.

Dr. Davis made the Board of Supervisors aware that the events have made her very uncomfortable, unhappy and disappointed. She explained that she has worked very hard to help this Board work together better, but the challenges they are facing with the finances and not getting what they need is uncovering a lot for them right now. She’s reached out to the Virginia School Board’s Association on who she should report to when they feel that they are not getting the information they need. Dr. Davis believes it’s important that all School Board members get the same information at the same time.

Chairman Haynie stated that each School Board member has the right to know anything that goes on in the school and the Superintendent answers to the School Board. They cannot tell the

Page 10

School Board members what they can and cannot see and if they are, the School Board needs to remove them.

Dr. Curran stated that the information flow started since Dr. Karen Leslie has been acting Superintendent. Prior to that time, he had gotten no information from the Superintendent. He stated that, for example, the Superintendent went on FMLA leave and he found out 20 days later and at that same time, Dr. Leslie found out. He explained that he was under the impression that Dr. Leslie was not the acting Superintendent, but the designee, which meant that she’d take her direction still from the Superintendent. However, 20 days went by, and he assumed that Dr. Leslie sent emails to get clarification on things because she didn’t have the power she needed to run the division. He stated that information was kept by the Chair and Vice Chair of the School Board from the other three School Board members. Additionally, Dr. Curran made everyone aware that he doesn’t certify closed sessions anymore because there are things discussed in closed session that shouldn’t be discussed. He stated that the Vice Chair has used closed sessions to intimidate three members on the School Board, and he is one of them. Dr. Curran also stated that at the last joint meeting, the Chair notified everyone of the reason Dr. Wargo is on FMLA leave and he's sure that it is a HIPAA violation.

Dr. Curran made a motion on behalf of the School Board that they report self-report the improper actions of the Chair and Vice Chair over the last year or since he’s been on the Board to the Virginia Department of Education which is the administrative body over the School Boards. Dr. Davis seconded the motion.

Mrs. Mazyck agreed that the School Board is dysfunctional but as far as what goes on in closed session, she doesn’t believe that personnel or legal issues need to be discussed in open session. Dr. Curran agreed with some of Mrs. Mazyck’s statement because there is a code section that explicitly states and addresses personnel issues which is meant to be discussed in closed session, however he feels that a School Board member is defaming his character which is breaking the law and using closed session to do so.

The School Board vote on the motion was: 3:2 motion failed.

Mrs. O’Bier stated that it’s easy to point fingers and call out people, but Dr. Curran’s no saint. She believes that if people see just a piece of what he acts like in public meetings, they’d love to see him in closed sessions. She stated that Dr. Curran has done a great job of putting that on her but she’s come nowhere near the level of him. As far as information being held back, she explained that the entire Board just found out about the IRS incident as a whole. Dr. Leslie went back on a timeline for two years and the whole Board just found out about it a week ago. She stated that she’s trying to put the pieces of the puzzle together but who gets the blame for knowing that information for two years and not bringing it to the Board.

Dr. Curran explained that’s why the state police are getting involved.

Mrs. O’Bier agreed and stated that’s why the School Board voted on it. As far as Cheryl not knowing the information, she explained that all the information is on board docs, they’ve requested it be uploaded by Friday evening, so the School Board has the weekend to read it over. Dr. Davis stated this does not always happen though and they have a new clerk, which is also a part of the problem.

Mrs. O’Bier explained that they don’t have a clerk at all.

Dr. Davis stated until last week they did have a clerk.

Mrs. O’Bier stated that they’re forgetting the part where they had a person in the equation that’s been taken out of the equation and now all the problems are coming to the surface and she doesn’t have to be a rocket scientist to figure that out. Additionally, she stated that sometimes people and Board members come into the meetings and have not studied their board docs and that’s on them, not on other people for not notifying them of the information.

Dr. Curran agreed, stating that all board members should read their board docs and referenced a meeting where he brought this up because there were so many errors in the meeting minutes and no one made a motion except for him that it was all wrong. He stated that some information is not being posted until the day of the meeting and some of them have to work for a living and don’t have time to review that information that was received late, so he’d like to enforce the rule that the information needs to be posted by Friday evening.

Dr. Curran made a motion that all information that’s going to be discussed in closed session be posted on board docs by close of business day Friday at 5:00 p.m. and no other information be added to board docs after that time. Mrs. O’Bier seconded this motion. The School Board vote was 5:0, motion carried.

Page 12

Action, Information: C. Suggestion to School Board - Administrative Leave

Motion to suggest that the School Board consider Superintendent Wargo and Finance Director Booth be on Administrative Leave without pay until the investigation is over.

Mrs. Christopher stated that she’s not sure that Mr. Brann can do that.

Vice Chairman Brann stated that the School Board may not be able to do that, but he can request/suggest that because he believes it would benefit the School Board.

Mrs. O’Bier stated that they’d look into this with their lawyer.

Supervisor Williams stated that there is too much unknown right now and those are two biggest players in the unknown.

Chairman Haynie stated that the Board of Supervisors is making this request, and it is not a demand for the School Board.

Supervisor Fisher commented that he doesn’t know what it’s going to take to gain confidence in the Northumberland County School Board, but hopefully this is a start.

Motion by: James W. Brann, second by: Chip Williams.

Final Resolution: Motion Carried

Aye: Richard F. Haynie, James W. Brann, Chip Williams, AC Fisher, Jr.

Nay: James M. Long

Dr. Curran stated that he was a former state trooper and he’s been a criminal investigator for 30 years and typically, if a federal agency is called in to do an investigation the people are put on leave with pay until the investigation is complete so that the individual cannot make evidence disappear or try to hide things. Additionally, they’ll cut off all email access to all documents. Dr. Curran believes it would be in the best interest of the School Board that they place the Finance Director and Superintendent on administrative leave until the investigation in complete. Dr. Davis seconded the motion.

Mrs. O’Bier believes this needs to be discussed with the School Board attorney first. Dr. Curran amended his motion to include the request be run by the School Board attorney to make sure the School Board is well within their right to do so.

Page 13

Mrs. O’Bier and Mrs. Mazyck agreed to vote for this after discussion with the School Board attorney. The School Board vote was 5:0, motion carried.

Chairman Haynie opened up the floor for public comment.

Mr. O’Brien objects to the idea of placing Dr. Wargo and Mrs. Booth on administrative leave with pay. He stated that the citizens of the County have been financially burdened by their gross mismanagement of the school system, and he doesn’t believe paying them to go on a long vacation is appropriate. Mr. O’Brien recommended placing them on administrative leave with no pay or have them fired.

Dr. Pica appreciated the actions taken tonight and believed it is time for the state police to come in. She’s watched the school’s budget increase for the past two years and some have watched it occur for 10 years. She stated they find out the school isn’t paying taxes, there is revenue missing, the test scores are going down, special education teachers are asking for supplies, but special education grant money cannot be accounted for, and insurance is being paid for those who aren’t working for the school system. The School Board has consistently not complied with the state code. Dr. Pica explained that their meeting minutes haven’t been posted since November. Last year the School Board submitted a budget that showed they were going to use the school construction grant monies for a playground, yet someone questioned whether that was true, and the letter had all the School Board members’ signatures written on it that was submitted to the Board of Supervisors. Dr. Pica stated that the teachers are working very hard and they need to get the support they deserve, and she applauded some of the School Board members’ actions taken tonight and the rest of them either need to step up or step down. Chairman Haynie asked how many people were online tonight.

Mr. Headley informed the Boards there were 59 people online.

Mrs. Tina Withers, Interim Finance Director, clarified that she and Mrs. Shannon O’Bier discovered the incident with the IRS in March and immediately contacted the IRS to get more information about what was going on. After they received information from the IRS, they looked at some of the paperwork that was involved and notified Dr. Leslie, which is when the information was placed on board docs for the April meeting. Mrs. Withers wanted to make the Board aware that the financial concerns happened before they were employees at the School Board Office. Additionally, she stated that the finance secretaries do a great job and have been very helpful. She explained that their books are always on point and that’s never been noted in a meeting.

Page 14

Dr. Curran stated that he’s made the comment before that the acting Finance Director is overworked and needs help.

Mrs. O’Bier stated that is not what he’s said in the past.

Dr. Curran chose not to respond.

The School Board’s Chair, Betty Christopher, adjourned to close the joint meeting. **Chairman Haynie requested a 10-minute recess.

3. County Administrator Items

Action, Information: A. VTSS School Appropriation Request

Dr. Leslie explained that the VTSS grant provides them with $30,000 to put things in place to support all students at all levels of achievement. Typically, the money is used for PBIS which is a positive behavior intervention system.

Chairman Haynie noticed that the grant was awarded in July 2024, so someone’s been sitting on this for a long time.

Dr. Leslie stated that she cannot answer to that. She believes it was approved at the January or February meeting by the School Board, and they tried to get it on the Board of Supervisors meeting agenda but were not able to get it on there at the time. She asked Mr. Tadlock if he recalled when it was approved by the School Board.

County Administrator Tadlock stated that the documentation states that the revenue was received March 14, 2025, and that is the date of EDI deposit as well.

Chairman Haynie asked if this grant required a match.

Dr. Leslie stated she believes this grant requests an in-kind match.

Motion to approve a supplemental appropriation for the School Division to their Instruction line item 30-6000-6100 in the amount of $30,000.00 for the Virginia Tired Systems of Support (VTSS) Grant.

County Administrator Tadlock explained that the Northern Neck Regional Jail approved their FY26 budget in the amount of $13,846,630.00 (operating budget) and there is no cost to the localities. Provided in the Board’s packet is the revenues, expenditures, and also significant points in relation to the budget.

Vice Chairman Brann asked when this has to be approved by the localities.

Chairman Haynie stated as soon as possible.

Supervisor Williams and Vice Chairman Brann stated that haven’t had time to look at it. The Board asked to put this on the agenda at their next special called meeting or their regular meeting in April, whichever comes sooner.

Action, Information: C. Water Supply Plan Resolution

County Administrator Tadlock explained that this resolution is related to the local and regional water supply planning application for the FY 25 water supply planning grant. This is being run through the Northern Neck Planning District Commission and it's no cost to the
